1. Introduction
Welcome to Ecom Ace ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our website and services operated by Daksh Manocha under the brand Ecom Ace. Our Privacy Policy also governs your use of the Service. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (collectively, the "Agreements"). 2. Communications
By enrolling in our Service or submitting your contact information, you consent to receive program updates, newsletters, promotional materials, and other communications from us via email, WhatsApp, or other channels. You may opt out of marketing communications at any time by emailing support@ecomace.in. You cannot opt out of transactional or program-related communications while enrolled.
3. Acceptance
By accessing our website, enrolling in any program, or making a payment, you confirm that you are at least 18 years of age, or a minor enrolling with the documented consent of a parent or legal guardian who accepts these Terms on the minor's behalf and assumes full responsibility for all obligations herein. You confirm that all information you have provided is accurate and complete and that you agree to be legally bound by these Terms. Your enrollment is formally confirmed by the Mentorship Services Agreement signed at onboarding, which constitutes your documented acceptance of these Terms and Conditions at the time of purchase.
4. Services
Ecom Ace offers e-commerce mentorship and training across three program tiers: 1-on-1 VIP Mentorship, Group Mentorship, and Skool Community Access. The scope, duration, deliverables, and access terms for each tier are defined in the Mentorship Services Agreement signed at the time of enrollment. Ecom Ace reserves the right to modify program structure and delivery format at any time to improve outcomes.
5. Purchases and Payment
To enroll in any Ecom Ace program, you will be required to provide payment information. You represent and warrant that: (a) you have the legal right to use the payment method provided; and (b) all information submitted is accurate and complete. We use third-party payment processors to handle transactions. We reserve the right to refuse or cancel any enrollment for reasons including but not limited to suspected fraud or unauthorised transactions.
6. Fees and Payment Policy
All fees are as stated in your Mentorship Services Agreement, which is the definitive record of the amount due, payment schedule, and any applicable discounts. Split payment arrangements are binding; the remaining balance must be settled on or before the agreed due date. Ecom Ace reserves the right to modify program fees at any time with advance notice, which will not affect agreements already in force. Ecom Ace reserves the right to pause or terminate access to any program element until outstanding fees are settled in full.
7. Refund Policy
All payments made to Ecom Ace are non-refundable except as provided under our Refund Policy available at ecomace.in/refund-policy. By making payment, you acknowledge you have read and understood the Refund Policy and agree to its conditions.
8. Prohibited Uses
You agree to use the Service lawfully and only for permitted purposes. You must not:
- Violate any applicable laws or regulations
- Harm, exploit, or attempt to exploit minors in any way
- Send unsolicited communications or spam to any person
- Impersonate Ecom Ace, Daksh Manocha, or any other person
- Infringe upon the intellectual property or other rights of any party
- Disrupt or interfere with the use of the Service by others
- Attempt to gain unauthorised access to any systems, networks, or accounts
- Introduce malware, viruses, or other harmful code
- Use automated bots or scrapers on our platforms without written consent
- Publish false or defamatory statements about Ecom Ace or Daksh Manocha on any public platform
- Share, redistribute, or resell any Ecom Ace program materials without written consent
9. Client Obligations
- Active participation: Attend scheduled sessions, complete assigned tasks and modules, and engage with the community.
- Honest communication: Provide accurate information on onboarding forms and during sessions.
- Respectful conduct: Maintain professional communication with all Ecom Ace team members and community participants at all times.
- Independent costs: All ad spend, tools, subscriptions, inventory, and operational costs are your responsibility and are separate from the mentorship fee.
- Legal compliance: You are solely responsible for ensuring your business activities comply with all applicable laws in your jurisdiction.
10. Intellectual Property
All frameworks, templates, SOPs, scripts, modules, slide decks, videos, worksheets, and tools shared as part of any Ecom Ace program remain the sole intellectual property of Ecom Ace and Daksh Manocha. You are granted a limited, non-transferable, non-exclusive licence to use these materials for your own business during your program enrollment. You may not reproduce, redistribute, resell, publicly share, teach from, or otherwise exploit any Ecom Ace material without prior written consent.
11. Non-Transferability of Enrollment
Enrollments are personal and non-transferable. Program access, agreements, and any associated rights may not be shared with, assigned to, or transferred to any third party without prior written consent from Ecom Ace. Any attempt to transfer enrollment without consent will result in immediate access revocation without refund.
12. Session Recording
All coaching sessions, group calls, and 1-on-1 sessions conducted via any platform are recorded by Ecom Ace. By enrolling and participating in any session, you consent to such recording. Recordings are used for internal quality assurance, client progress review, training, and may be used for marketing and promotional purposes. Client-identifying personal or business information will not be shared publicly without prior written consent.
13. Community Content
Content posted by clients in the Ecom Ace community — including the Skool community, Discord server, or any other community platform — is visible to other enrolled members. By posting in the community, you grant Ecom Ace a non-exclusive licence to use your posts for community management and marketing purposes, subject to our confidentiality commitments. You retain ownership of your own content but acknowledge that community posts are not private within the enrolled member base.
14. Rights to Results and Digital Assets
By enrolling in any Ecom Ace program, you agree that Ecom Ace reserves the right to use, share, or display the results you achieve through our programs — including revenue growth, ad performance, business milestones, testimonials, screenshots, and other metrics — in marketing materials, advertising campaigns, case studies, and social media content. You grant Ecom Ace a non-exclusive, irrevocable, worldwide licence to use such outcomes as digital assets for promotional purposes. We commit to not sharing any confidential or sensitive personal or business information publicly without your prior written consent. All client results used in marketing are genuine. Results shown in marketing materials are not typical and individual outcomes will vary based on effort, product selection, ad spend, execution, and market conditions.
15. Feedback
If you submit suggestions or feedback to us, you grant Ecom Ace a non-confidential, royalty-free licence to use, modify, and implement them for any purpose without obligation or compensation to you.
16. Not Professional Advice
The mentorship, frameworks, and guidance provided by Ecom Ace constitute e-commerce education and business training only. Nothing in our program, communications, or materials constitutes legal, financial, accounting, tax, or investment advice. Clients are solely responsible for consulting qualified professionals — including lawyers, chartered accountants, and financial advisors — for such matters. Ecom Ace accepts no liability for decisions made in reliance on program content in areas requiring professional licensing.
17. Advertising Compliance
Ecom Ace complies with the CCPA Guidelines for Prevention of Misleading Advertisements and Endorsements, 2022, and the Advertising Standards Council of India (ASCI) Code. All client testimonials and results used in marketing are genuine. Where client results are displayed, appropriate disclaimers indicating that results are not typical are included in accordance with applicable guidelines.
18. No Guarantee of Results
Ecom Ace does not guarantee any specific revenue, profit, or business outcome. Results shown in testimonials, case studies, or marketing materials represent individual client experiences and are not typical. Outcomes depend on market conditions, product selection, ad spend, execution quality, competition, personal effort, and economic environment.
19. Disclaimer of Warranty
The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.
20. Limitation of Liability
To the maximum extent permitted by applicable Indian law, Ecom Ace's total cumulative liability for any claim shall not exceed the total amount you paid in the 12 months preceding the claim. Ecom Ace shall not be liable for any indirect, incidental, consequential, or punitive damages including loss of profits, revenue, data, or business interruption.
21. Indemnification
Client agrees to indemnify, defend, and hold harmless Ecom Ace and Daksh Manocha from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) Client's own business operations and activities; (b) Client's use or misuse of program materials; (c) any third-party disputes arising from Client's business; or (d) Client's breach of these Terms.
22. Third-Party Platform Dependency
Ecom Ace delivers program content through third-party platforms including Skool, Discord, and WhatsApp. In the event that any such platform becomes unavailable, restricts access, or otherwise prevents program delivery due to circumstances outside Ecom Ace's control, Ecom Ace will make reasonable efforts to migrate program delivery to an equivalent platform within 14 days of becoming aware and will notify affected clients promptly. Ecom Ace shall not be liable for service disruptions caused by third-party platform changes, policy updates, or outages beyond our control.
23. Force Majeure
Ecom Ace shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to illness or incapacity of key personnel, natural disaster, acts of government, internet or platform outages, war, pandemic, or any other event outside our reasonable control. In the event of a Force Majeure Event, we will: (a) notify you as soon as reasonably practicable; (b) pause your program and extend your access period by the duration of the disruption at no additional cost; and (c) if performance becomes permanently impossible, offer a prorated refund for confirmed undelivered sessions. This clause does not affect your payment obligations for services already delivered.
24. Termination
Ecom Ace may suspend or terminate your access immediately and without refund for abusive behaviour, harassment, breach of confidentiality, IP violation, chargeback initiation, publishing false or defamatory statements about Ecom Ace on public platforms, non-compliance with community guidelines, or any other material breach of these Terms. You may discontinue participation at any time by providing written notice to support@ecomace.in. No refund will be issued except as provided under our Refund Policy. All outstanding payment obligations remain enforceable. Confidentiality, IP, and indemnification obligations survive termination indefinitely.
25. Changes to Service
Ecom Ace reserves the right to modify, suspend, or discontinue the Service or any part of it at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
26. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. In the event of a dispute, the parties agree to first attempt good-faith resolution within 15 days of written notice. If unresolved, the dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be New Delhi. Nothing in this arbitration clause affects your right, as a consumer, to approach a District Consumer Forum, State Commission, or the National Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019. Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court.
27. Amendments
We may update these Terms at any time by posting the revised version on our website. For enrolled clients, material changes will be communicated via email or WhatsApp prior to taking effect. Continued use of the Service after such changes constitutes acceptance of the updated Terms.
28. Waiver and Severability
Failure by Ecom Ace to enforce any provision of these Terms does not constitute a waiver of that right. If any provision is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
29. Acknowledgment
By using the Service, enrolling in a program, or making a payment, you acknowledge that you have read these Terms, understood them, and agree to be bound by them.
